Selanjutnya, Pihak Pertama dan Pihak Kedua menyatakan sepakat untuk mengikatkan diri dalam Perjanjian Jual – Beli Ketela Pendem dengan ketentuan dan persyaratan sebagaimana tercantum dalam pasal-pasal berikut ini :


Pasal 1
Definisi
Kecuali secara tegas dinyatakan lain, setiap kata sebagaimana didefinisikan di dalam perjanjian ini mempunyai pengertian sebagai berikut:

1. Perjanjian dalam hal ini adalah kesepakatan antara Pihak Pertama dengan Pihak Kedua tentang jual beli Ketela Pendem sesuai yang diatur dalam perjanjian ini.
2. Rupiah ( Rp) adalah bentuk mata uang indonesia yang digunakan dalam pembayaran yang sesuai dengan kesepakatan dalam perjanjian ini.
3. Kilogram ( kg ) adalah satuan yang digunakan sebagai penjelasan berat dalam perjanjian ini.
4. Container adalah ukuran yang digunakan untuk menghitung besarnya Ketela Pendem yang diperjanjikan.
5. Kontak dagang adalah komunikasi jarak jauh mengenai perjanjian ini.
6. Yurisdiksi / domisili Hukum adalah pilihan hukum yang digunakan dalam pembuatan perjanjian ini dan segala akibat hukumnya yang timbul.
7. Overmacht ( Force Majure ) adalah hal – hal yang terjadi di luar kekuasaan pihak kedua , seperti :
a. Bencana Alam : banjir, gempa bumi, tanah lngsor, petir, angin topan, serta kebakaran yang disebabkan oleh faktor eksternal yang mengganggu kelangsungan perjanjian ini.
b. Huru hara, kerusuhan, pemberontakkan, dan perang.
